By accessing or using services provided by Nexa Digital Labs LLC ("Company," "we," "us," or "our"), including but not limited to NexaAgent and any related software, platforms, or tools, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access our services.
Nexa Digital Labs provides AI-powered automation tools and platforms designed for professionals in various industries, including real estate. Our services include workflow automation, data extraction and syndication, content generation, MLS integration, and related features. Services may be updated, modified, or discontinued at our discretion.
To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update your information as needed.
Paid plans are billed monthly in advance through our payment processor. Prices are those shown at the time you subscribe.
Upgrades are charged as a difference, never as a second subscription. If you move to a higher plan, your existing plan continues uninterrupted and you are charged only the difference between the two. You are never charged twice for the same period.
Features that depend on a third party activate when that third party approves them, and you are not billed for them before then. A dedicated business texting number requires carrier registration, which typically takes four to ten days and is outside our control. Where a plan's price difference is attributable to such a feature, that difference is not charged until the feature is live, and the first charge after activation is prorated.
You may cancel at any time, effective at the end of the current billing period. We do not provide refunds for partial periods except where required by law. If you cancel, features that depend on a provisioned resource — such as a texting number — end after a short grace period, after which the resource is released and cannot be recovered.
We may change prices with at least thirty (30) days' notice to the email on your account. Continued use after the change takes effect is acceptance of it.
Some features help you send messages to your own contacts. You are the sender. You are solely responsible for having the consent required by law — including the Telephone Consumer Protection Act, its implementing regulations, and any state equivalent — from every person you message, and for honoring opt-out requests.
You agree that you will not use the Services to send messages to any person who has not consented to receive them, or who has asked you to stop. Our tools honor STOP and unsubscribe requests automatically and record contact-level "do not text" and "do not email" flags, but those tools do not create consent and do not transfer your legal responsibility to us.
Where the Services include a business texting number registered on your behalf, you confirm that the business information you give us for that registration is accurate and that you are authorized to provide it. Carriers may suspend or refuse a registration at their discretion; we will tell you if that happens, and you will not be charged for a number that never activates.
You agree to use our services only for lawful purposes and in compliance with all applicable laws and regulations. You may not use our services to transmit harmful, fraudulent, or misleading content, to infringe upon the intellectual property rights of others, to attempt to gain unauthorized access to our systems, or to interfere with the proper functioning of our services.
All content, features, and functionality of our services — including but not limited to software, text, graphics, logos, and trademarks — are the property of Nexa Digital Labs LLC and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our services without prior written consent.
The Services use artificial-intelligence models to read documents and images you provide, to extract information from them, and to draft text — including but not limited to contact details, listing descriptions, photo captions, marketing copy, messages, emails and comparative market analyses.
This output is a draft prepared for your review, not professional advice, and not a substitute for your own judgment as a licensed professional. You are responsible for reviewing everything before you send it, publish it, or rely on it. AI systems can misread a document, transcribe a number incorrectly, or state something confidently that is wrong.
We make no warranty that generated content is accurate, complete, current, or suitable for any purpose, and nothing generated by the Services is an appraisal, a legal opinion, a tax opinion, or financial advice. Any valuation or market analysis produced by the Services is an estimate for informational purposes, prepared by you as the licensed professional, and is not an appraisal.
Subject to your compliance with these Terms, you own the content you provide and the output generated for you from it.
The Services connect to systems operated by others at your instruction — including calendar, contacts and email providers, payment processing, messaging carriers, and real-estate data sources. Your use of those systems remains subject to their own terms, and we are not responsible for their availability, accuracy, or acts.
Multiple listing service (MLS) data, where offered, is licensed and restricted. Access requires that you are a member in good standing of the relevant MLS, and it is verified. MLS data displayed through the Services is queried live at the moment you ask for it; it is not compiled into a database of our own, is not used to develop or train artificial-intelligence models, and is not redistributed. Listings are displayed with the attribution the MLS requires. Your right to access that data ends when your membership ends, or when the MLS's license to us ends, and on termination all such data is purged.
You must not use the Services to scrape, spider, mine, or bulk-extract data from any connected system, or to build a competing dataset.
Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection and use of your information as described in our Privacy Policy. You retain ownership of any data you input into our systems, and we will not sell your personal data to third parties.
To the fullest extent permitted by law, Nexa Digital Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount you paid to us in the twelve months preceding the claim. Our services are provided "as is" without warranties of any kind.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Because the Services generate drafts for your review and connect to systems operated by others, we are not liable for business decisions you make on the basis of generated content, for messages you send, or for the acts, omissions or downtime of a connected third-party service.
We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination shall remain in effect.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Sacramento County, California.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
